Terms of Service

01. Introduction & acceptance

These Terms of Service (the "Terms") govern your access to and use of Yaya Gemma (the "Service"), operated by Yaya Gemma Co. ("Yaya Gemma", "we", "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

02. The service

Yaya Gemma is an AI-powered cooking assistant that takes a picture of what you have on hand and suggests recipes you can make tonight. The Service is provided through our web app and may evolve as we add features.

Some features are offered free of charge; others are available through paid subscriptions or credit top-ups.

03. Accounts & eligibility

You must be at least 16 years old to create an account. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account.

04. Acceptable use

• Do not scrape, reverse engineer, or attempt to extract the underlying models or data.
• Do not use the Service to harass, defraud, or harm others.
• Do not resell, sublicense, or redistribute AI-generated output at scale or as a competing product.
• Do not upload content you do not have the right to share.

05. AI-generated content

Recipes, ingredient identifications, and other outputs are generated by AI models and are provided as suggestions only. They may be incomplete, inaccurate, or unsuitable for your situation.

You are responsible for checking ingredients, allergens, cooking temperatures, and food-safety practices before preparing or consuming any dish. The Service is not medical, nutritional, or dietary advice.

06. Intellectual property

The Service, including its software, design, branding, and underlying models, is owned by Yaya Gemma and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

You retain ownership of the content you upload (such as fridge photos). You grant us a license to process that content as necessary to provide the Service.

06a. Reseller and Payment Processing

Our order process for paid subscriptions is conducted by our online reseller, Paddle.com ("Paddle"), who acts as the Merchant of Record for all orders placed through Yaya Gemma. This means:

• You purchase your subscription from Paddle, not directly from Yaya Gemma Co. The Product itself remains licensed to you by Yaya Gemma Co.
• Paddle handles payment processing, invoicing, sales tax/VAT collection and remittance, and fraud prevention for all Transactions.
• Paddle provides customer service for billing-related inquiries and processes all refund requests, in accordance with our Refund Policy.
• Your use of Paddle's checkout is also governed by Paddle's Buyer Terms (paddle.com/legal/buyer-terms), which apply alongside this Agreement.

Nothing in this clause limits your statutory consumer rights.

07. Payment & Credit Terms

Paid subscriptions and credit top-ups are subject to our Refund Policy, which is incorporated into these Terms by reference and is available at get.yaya-gemma.com/refund. In general, you may request a full refund within 14 days of purchase or renewal by contacting Paddle directly via paddle.net. Once you have explicitly consented to immediate access to digital content or AI-generated output during that 14-day period, your statutory right of withdrawal for that specific charge may no longer apply, consistent with Paddle's Buyer Terms.

08. Termination

You may stop using the Service and request account deletion at any time by contacting hello@yaya-gemma.com. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to us or other users.

On termination, the licenses granted to you end. Sections that by their nature should survive (intellectual property, disclaimers, liability, governing law) will survive.

09. Disclaimers & liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

To the maximum extent permitted by applicable law, Yaya Gemma's aggregate liability arising out of or relating to the Service is limited to the amounts you paid for the Service in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including your statutory consumer rights.

10. Governing law

These Terms are governed by the laws of France. Disputes will be brought before the competent courts of France, without prejudice to any mandatory consumer-protection rules of the country where you reside as a consumer in the European Union.

11. Changes to these terms

We may update these Terms from time to time. If changes are material, we will notify you by email or through the Service before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
